Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(a) On June 11, 2015, Mr. Solomon Mayer, a member of the Company’s board of directors, informed the Company’s Board of Directors that he was resigning, effective as of the close of business on such date. Mr. Mayer informed the Board that he resigned for personal reasons and expressed his best wishes to the Company. No executive officer of the Company is aware of a disagreement between Mr. Mayer and the Company relating to the Company’s operations, policies or practices. A copy of this report has been reviewed by Mr. Mayer prior to its filing, and he confirmed that he does not disagree with the statements we made in this paragraph (a).
