Item 7.01 Regulation FD Disclosure.

The Registrant reports that on June 10, 2015, our wholly-owned subsidiary, Ruby Gold, Inc. ("RGI"), agreed to terms on a proposed $10 million direct private investment into RGI from an overseas investor (the "Investor"). Further details will be announced upon the execution of a definitive agreement, of which there is no assurance. No shares of the Registrant have been issued pursuant to this agreement, and no shares of the Registrant are expected to be issued.
