EXPLANATORY NOTE

National CineMedia, Inc. (the “Company”) is filing this Amendment No. 1 on Form 8-K/A (“Amendment No. 1”) to report the appointment of Thomas F. Lesinski to a committee of the Company’s Board of Directors.

Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers Compensatory Arrangements of Certain Officers.

On December 19, 2014, the Board of Directors of the Company (the “Board”) appointed Thomas F. Lesinski to the Board. Mr. Lesinski’s appointment to the Board was reported under Item 5.02 on the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on December 29, 2014 (the “Initial 8-K”); such disclosure is incorporated herein by reference in its entirety. At the time of the filing of the Initial 8-K with the SEC, Mr. Lesinski’s committee assignments had not been determined. On May 8, 2015, the Board confirmed the appointment of Mr. Lesinski to the Audit Committee. Mr. Lesinski will replace Lawrence A. Goodman on the Audit Committee, who will continue to serve as Chairman of the Compensation Committee and a member of the Nominating and Governance Committee.
