We
anticipate our financial results for the year ended December 31, 2014, will differ significantly from the prior year due to: (i)
our increased operations in 2014 compared to 2013, and (ii) our borrowing of significant funds in 2014 compared to 2013. The increase
in our operations is due to our testing, development, manufacturing, marketing and selling of our Driver Alertness Detection System
("DADS™"). For the nine months ended September 30, 2014 compared to the same period in 2013 we showed significant
increases in assets, liabilities, revenues, expenses and in our net loss, and we anticipate the year ended December 31, 2014 will
also show similar increases compared to the year ended December 31, 2013. Additionally, in 2014 we borrowed a total of $7,614,000,
compared to $2,173,000 in 2013. As a result, we expect our liabilities to be significantly higher in 2014 compared to 2013. The
above transactions are expected to significantly impact our revenue and cost of goods sold and operating expenses, as well as
change our net profit/loss for the current year when compared to a year ago. The exact impact will not be known until our financial
statements for the year ended December 31, 2014 are completed.
