State below in reasonable detail the reasons why the Form 10-K, 11-K, 20-F, 10-Q, N-SAR, or other transition report or portion thereof, could not be filed within the prescribed period.

Independence Energy Corp. ("the Company") has been working diligently to complete all of the required information for its quarterly report on Form 10-Q for the quarter ended October 31, 2014 ("the Form 10-Q"). However, the Company was unable to complete the Form 10-Q by the September 15, 2014 due date without unreasonable effort and expense due to the recent engagement of a new independent auditor, which delayed the compiling and timely preparation of the information required to be included in the Form 10-Q. The Company intends to file a complete Form 10-Q for the quarter ended October 31, 2014 as soon as practicable within the additional time allowed by this report.
