On November 19, 2014 the Heddle Marine Service Inc., a Company owned by Mr. Richard Heddle, the Company's Chief Executive Officer and a member of the Company board of directors purchased from the Issuer a 12% secured promissory note in the principal amount of $1,000,000 and a five year warrant to purchase one million shares of Common Stock of the Issuer at an exercise price of $0.12 per share, for gross proceeds to the Issuer of $1,000,000.
