Due to unforeseeable circumstances causing delays in the preparation and review of its financial statements for the year ended August 31, 2014, Red Giant Entertainment, Inc. (the "Company") is currently awaiting the compilation and review of its financial statements and is unable to file its Annual Report on Form 10-K within the prescribed time period without unreasonable effort or expense. The Company respectfully requests an extension and expects to file the Annual Report on Form 10-K for the year ended August 31, 2014 within the applicable extension period provided by this form.
