( 1)  Mr. Tusa was granted options to purchase 120,000 shares of common stock under the Sharps Compliance 2010 Stock Plan which vests as follows: one-fourth on November 20, 2015, one-fourth on November 20, 2016, one-fourth on November 20, 2017, and one-fourth on November 20, 2018. The exercise price of the stock is $4.30 according to the agreement.
