Item 8.01. Other Events.

On November 20, 2014, Abercrombie & Fitch Co. (the "Company") issued a news release reporting that the Board of Directors of the Company had declared a quarterly cash dividend of $0.20 per share in respect of the Company’s Class A Common Stock. The dividend was declared on November 19, 2014 and is payable on December 10, 2014 to stockholders of record at the close of business on December 2, 2014. A copy of the news release is included with this Current Report on Form 8-K as Exhibit 99.1 and incorporated herein by reference.

New Albany, Ohio, November 20, 2014: Abercrombie & Fitch Co. (NYSE: ANF) today reported that on November 19, 2014, the Board of Directors declared a quarterly cash dividend of $0.20 per share on the Class A Common Stock of Abercrombie & Fitch Co., payable on December 10, 2014 to shareholders of record at the close of business on December 2, 2014.
