Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 16, 2014, the Board of Directors of Biglari Holdings Inc. (the “Company”) approved a change in the Company’s fiscal year-end moving from the last Wednesday in September to December 31 of each year.

The Company will file an Annual Report on Form 10-K on November 22, 2014 for fiscal year 2014, which ended September 24, 2014, and will file a Transition Report on Form 10-KT on March 13, 2015 for the transition period from September 25, 2014 through December 31, 2014.
