* On October 1, 2014, pursuant to the Agreement and Plan of Merger dated April 29, 2014 (the “Merger Agreement”), by and among PokerTek, Inc. (the “Company”), Multimedia Games, Inc. (“Parent”), and 23 Acquisition Co. (“Merger Sub”), the Company completed its merger (the “Merger”) with Merger Sub, a wholly owned subsidiary of Parent, whereby Merger Sub merged with and into the Company, with the Company continuing as the surviving corporation in the Merger, and as a result of which the Company became a wholly owned subsidiary of Parent. The Merger became effective on October 1, 2014. Following the Merger, the Company was merged with and into Parent.
