incorporation by reference of the financial statements and auditor report of Ocean Rig UDW Inc. for the year ended December 31, 2013, dated February 21, 2014, into the prospectus supplement of DryShips Inc. filed for the purpose of registering its Senior Secured Notes due 2017 (the “Prospectus Supplement”).
