Explanation of Responses:
( 1)  Represent Stock Unit Awards which vest one-third on the first anniversary of the grant date subject to continued employment with the Corporation, and the remaining two-thirds to vest in 8 equal quarterly installments following the first anniversary of the grant date subject to continued employment with the Corporation.
( 2)  Options vest in 24 equal monthly installments on the monthly anniversary of the date of grant subject to continued employment with the Corporation.
( 3)  Shares and stock price represented were impacted by a 1 for 100 reverse stock split which occurred on August 28, 2014.
