Explanation of Responses:

Sale is being made pursuant to a trading plan previously adopted under SEC Rule 10b5-1 by the reporting person on March 31, 2014 (the "Trading Plan"). The Trading Plan was adopted by the reporting person to enable the reporting person to satisfy tax liabilities associated with the vesting of shares of restricted stock previously granted to the reporting person by Liquidmetal Technologies, Inc. in August 2010. The Trading Plan provides for the sale of 500,000 shares on August 4, 2014. This Amendment is being filed for the sole purpose of adding Footnote 1. No other changes are being made to the original Form 4.
