The Registrant has experienced a delay in completing the necessary disclosures and finalizing its financial statements with
its independent public accountant in connection with its Annual Report on Form 10-K for the year ended April 30, 2014 (the “Annual
Report”). As a result of this delay, the Registrant was unable to file its Annual Report by the prescribed filing date without
unreasonable effort or expense.

It is anticipated that there will be significant changes in results of operations from the corresponding period for the last fiscal year due to increases in sales and marketing, officer and director compensation and general and administrative expenses, as well as loss on settlement of debt and conversion of preferred stock. Overall these categories combined, which represent both cash and non-cash expenses, increased approximately 1,800% over the prior period .
