Explanation of Responses:
( 1)  On July 22, 2011, the reporting person contributed 3,891 shares of Norfolk Southern Corporation common stock to a grantor retained annuity trust for the benefit of herself and her three children. Upon termination of the trust on July 23, 2014, 450 shares were transferred to the reporting person's children. The remaining 3,441 shares have been distributed to the reporting person and are reported in this Form 4 as 'directly owned.'
( 2)  Represents the approximate number of whole shares of Common Stock estimated -- on the basis of the unit accounting system used by the Plan Administrator -- as of July 23, 2014, to have been credited to the reporting person's account in the Norfolk Southern Corporation Thrift and Investment Plan (TIP), a trusteed 401(k) plan. In accordance with TIP's terms applicable to all participants, acquisitions were made at various times and at various prices.
