(b) On July 22, 2014, Laureen Seeger provided notice of her resignation from the Board of Directors of Umpqua Holdings Corporation (the “Company”) and Umpqua Bank, effective August 31, 2014. Ms. Seeger is resigning in connection with the commencement of her employment as General Counsel of American Express Company due to the Depository Institution Management Interlocks Act and federal bank regulatory policy. Ms. Seeger expressed her continued support of the board, the management team and the Company.
