Digital Shelf Space Announces Closing of Non-Brokered Private Placement Financing

VANCOUVER, BRITISH COLUMBIA--(Marketwired - Nov 29, 2013) - Digital Shelf Space Corp. (the "Company" or "DSS") (TSX-VENTURE:DSS)(OTCQX:DTSRF) is pleased to announce that the Company has closed a non-brokered private placement (the "Offering") and issued 2,500,000 units (the "Units") at a price of $0.08 per unit for gross proceeds of $200,000. Each unit consists of one common share and one common share purchase warrant. Each whole purchase warrant entitles the holder to purchase one common share of the Company at the price of $0.10 per common share on or before the date occurring 36 months following the closing of the Offering (the "Offering Warrants").

The Company issued 131,250 Units, as well as 21,875 common share purchase warrants (the "Finders Warrants") and $3,500 as finder's fees in connection with the Offering. The Units and Finders Warrants issued as finder's fees have the same terms as the Units and Offering Warrants issued under the Offering.

In accordance with applicable securities legislation, securities issued pursuant to the Offering are subject to a hold period of four months plus one day from the date of completion of the Offering.

The Offering and payment of finders' fees are subject to final regulatory approval.

Monies raised from this financing will be used toward marketing and advertising, working capital and general corporate purposes and transaction and related expenses.
