Item 8.01 Other Events

To protect the Company and its shareholders, on October 27, 2013, the Company commenced an action against Directors Kenneth Sorensen and Michelle Peake in the Second Judicial District Court of the State of Nevada for breach of fiduciary duties, declaratory relief, injunction, and civil conspiracy.
