On October 14, 2013, the Board of Directors
of the Company approved an increase in the number of authorized shares of the Company’s common stock, par value $0.001 (the
“Common Stock”) from 900,000,000 to 2,500,000,000 shares of Common Stock.

that was filed with the Nevada Secretary of State on October 16, 2013 is attached hereto as Exhibit 3.1 of this Report and is incorporated
