Explanation of Responses:
( 1)  The 52,675 shares of common stock of Searchlight Minerals Corp. are held by Mr. McDougal as a trustee for the Robert D. McDougal and Edna D. McDougal Family Trust Dated December 13, 2007. Mr. McDougal has voting and investment power over the shares.
( 2)  Reflects the issuance of options to purchase up to 18,000 shares of common stock granted to Mr. McDougal on September 30, 2013 for his service as a non-employee director of Searchlight Minerals Corp. The options vest immediately and expire on the five year anniversary of the date that they vest.
( 3)  On June 19, 2012, the Board of Directors approved the extension of the expiration date of the options to November 4, 2015, with all other terms remaining the same. The original expiration date of the options was June 30, 2012. The options were inadvertently not included in Mr. McDougal's three previous Form 4 filings.
