ITEM 2 – FINANCIAL INFORMATION
ITEM 2.01 COMPLETION OF ACQUISITION OR DISPOSITION OF ASSETS.
On October 21, 2009, the Registrant dissolved its wholly-owned subsidiary, Global Travel Exchange, Inc., by filing a Certificate of Dissolution with the Secretary of State of Nevada. During the nine months ended September 30, 2009, Global Travel Exchange had negligible income and as of September 30, 2009, all assets had been written off.

ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINICIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.
On September 17, 2009, the Registrant accepted the resignations of
Anoosheh Mostafi and Charles Kao
effective immediately. The Board of Directors now consists of Gary Nerison, Terry De Lacy and Steven Peacock.
